New PSU needed for upgrade?

Newegg was running a clearance sale last week so I upgraded from my AMD XP2700 to a new XP3200. I also bought 1gig of the Corsair PC3200 Dual Channel Value Select Ram.
After the install everything booted OK and it shows that it the ram is indeed running in dual channel.
The problem I'm having is that every now and then for no apparent reason the system reboots by itself. Upon restarting I get a message that it has recovered from a serious error.
Could this be a PSU problem?

It's a 400watt Powerup.
My other specs are:
Chaintech 7NJL6 MB
200Gig WD EIDE
1 DVD Burner
1 CDRW
MSI 6600GT AGP
1-12volt (.2amp) case fan
All in a cheap JUST4PC mid tower case

The old 512 PC3200 ram was PNY brand. I have it laying on top of my desk at the current time.
By using the 1st calculator it says that I only need a 280 watt PSU. The Powerup PSU I have only has 25 watts on the 12 volt rail.

just try it out.. if there doesn't seem to be a problem with stability of the system.. just keep it...
and why not upgrade to 64 rather than xp?

I stayed with the XP system because the kids are getting to the age that gaming is not on the top of their priority lists any more. When running properly, the AMD XP based system is more than what I need. I just want it to be stabile and reliable.

If you think it may be a power issue try underclocking the fsb to something like 166 to make it a 2500xp and see if that makes a difference. If that makes it stable you might well need a new psu.

Don't suppose you have access to another psu to see if that solves the problem?

Also might want to check your temperatures, what's the air flow like in that case?

Darn thing rebooted on it's own again just a few minutes ago.
There are no temps in the bios on this MB. I still have the XP2700 I removed when I upgraded but I'll try underclocking the XP3200 first to see if it makes a difference.
I don't have another PSU to try.

Tried underclocking the processor but it rebooted again shortly after I logged on.
I want to eliminate the PSU from the list of possible causes so I'm going to order a new PSU from Newegg tonight.
Any reccomendations on selecting one would be greatly appreciated. I would hope I could get a good quality PSU for less than $100.

I ordered an Antec 430 True Power from Newegg. If this doesn't take care of the reboot problem, I'll probably come back for some more suggestions.
