New motherboard install HELP!!!

So I've been told in order to install a new mobo going from socket 462 to 754 and a diff. manufacturer I would NEED to do a fresh windowsXP install.

What I'm wondering since I don't have a windows install disk is it possible to bypass doing the fresh install. I can't afford to spend 100-200 on a new copy of windows considering I already have a product key for it. What are the biggest concerns if any if I don't do a fresh install. I just can't justify buying it allover again.

Can someone/anyone help me out here? Please???
 
ok. at the windows website you can buy another license to use the copy of windows twice. its not as bad ofa price.
