New mobo-new CPU-new memory-2 beeps!!!

Just rebuilt my system using an Intel D815EEA2LU socket 370 mobo and a 1.3 GHz Celeron. Used old Mushkin RAM, got two beeps. (might have gotten fried in the same storm that toasted my original mobo). Tried a new stick of 256 MB PC 133 PNY RAM. Still 2 beeps. Using my Riva TNT2 Ultra AGP 1x video card. Mobo has onboard sound, but I installed my Aureal SQ2500 sound card (onboard sound can be disabled in the BIOS).

I just realized...the mobo has onboard video too...will try to boot with sound card and AGP card out. Just the CPU w/hsf and RAM.

Do you think it could be the RAM? Not sure if PNY is good enough to put in this mobo, but that's the best Office Depot had at 8:00 PM last night!!

Later.....
OK, removed video and sound card, running with CPU and 1 stick of RAM in Bank 0 (as per manual), re-seated the memory---still 2 beeps!!

So........what's next? I read about flashing the CMOS (?), I know that relates to the battery, is that the next step?

Help!!

Yes looks like you might have a memory problem, have you tried(have access to) another stick of RAM? Here are some links to beep codes: 1, 2 and 3

Even later...

removed ALL RAM from the board....now getting 3 beeps - "First 64 KB memory failure".

Now what? :(

Re-installed the new RAM module in Banks 0, 1 and 2. I still get two beeps, no matter where it's put.

Also, when I put the power cable back on, the power goes right to the board, without me hitting the power on switch...is this normal? I can turn the power off with the power switch, but don't know why the computer starts up by itself like that.
