you just need a copy of an older version of windows CD for the XP setup program to verify

So I have to dig up a copy of win 98 and install that first then put xp upgrade on. That kinda sucks. but it makes sense. Thats what I thought I had to do but was hoping I wouldnt have to dig up win 98.

No no no, you don't need to install 98 first. Start installing XP, and at some point it will ask you to put your 98 disk in, just so setup can have a look at it and see that you really did have an older version of Windows.

No, you can do a from scratch install from Upgrade CD, but at some point during the installation you will be prompted to insert the previous OS CD (like Win 98) to verify that you really are "upgrading".
