New Gaming rig

Ok, it's been a few years and now its time to upgrade my rig, especially since Age of Conan is coming out.

Current rig:
A8n32 sli deluxe
amd opteron 180
zalman 9500
7800gt x2
2gig corsair xms
80g raptor
300g seagate

So here is what i've picked out so far.
Gigabyte GA-P35-DS3L $99
E8400 Wolfdale $199
G.Skill 4GB DDR2 1000 $89
MSI 8800GTS (g92) 512mb $225
OCS vendetta 2 $40ish
WD Caviar SE16 640gb (to replace my seagate) $114

So my questions are....Will the P35 be able to overclock the e8400 well enough or should i opt for another motherboard?
I was also thinking about the G.Skill 4gb DDR2 1066, but its $60 dollars more, is it worth it?

This new rig will mainly be used for gaming (mostly AoC) watching/downloading/burning movies and music.

Thanks.

Yes, it will overclock just fine, it's just lacking in things like RAID, # of SATA ports, eSATA, that type of thing.

Definitely not. The E8400 has a 9x multiplier, and the E7200 has a 9.5x multiplier. PC8000 is more than enough for either.
