Correct. All other hardware changes will not require a reinstall.

Why would you downgrade from a e6300 to a e4400? If you want a higher clock speed just overclock the e6300. A e4400 runs at 800 FSB where as a e6300 runs at a 1066 FSB. If any thing, I would upgrade to a e6750 as long as my motherboard supported a 1333 FSB. You may be able to flash the bios to get that support.

2 reasons.

1. I'm getting a new system and the 6300 is still a strong chip, so it's going into the new build. The cheaper chip is going into the current rig.

2. My asrock motherboard has an FSB wall at 290-295. If I put a chip in there with a higher multi, I can get a higher overclock.

4400 = 290 x 10 = 2.9
6300 = 290 x 7 = 2.03
 
You're swapping out a proc with one from the same series, so aside from making sure the BIOS detects the new proc correctly, you will be fine.
