New Case, Cooler and upgrade

I need an ATX mid tower case to save some space in my workpalce. I want to do some overclocking so I will need a new cpu cooler, I am thinking about getting a ZALMAN 9500A, and a well ventilated case with good airflow.. The max res for my monitor is 1280*1024, but I like my AA. I plan on using the computer for multimedia, gaming and graphic design. Given my specs and the uses I have for the machine, I am leaning towards a new GPU. My budget is around $300. What would be the most bang for my buck with a new case, GPU and HSF?

HD: 250gb WD 7200 rpm

Monitor BenQ FP91G+ 19"
Case: Sunbeam transformer full tower. 3 80mm fans and 2 120mm fans.
 
I'd love to suggest the P182 as well, but that's a significant chunk of his $300 budget.
IMO I'd say leave the GTS to save some cash as it's still fairly decent for current games.

Maybe try a cheap P35 mobo and a cheap Intel Dual Core + a decent HSF (Scythe Ninja is my vote) should leave you with a little left for a decent case, and I think would give you a good upgrade for $300.
