It needs to have 2 capabilities.

1. It needs to be able to add subtitles to various video formats, most importantly divx.

2. It needs to be able to convert videos between common formats (for example, from MPEG to avi).

Obviously, other functions such as being able to cut and combine videos should be there as well.

Obviously free programs would be nice, but I kinda doubt there will be such that do all this.

Thanks

Can you be a little more specific about what you want to do? Are you working mainly with AVI files, or mainly with MPEG? (Which is the desired end result?)

In general, VirtualDubMod will convert from MPEG to avi in any format you've installed, and cut and combine videos. But I haven't noticed any subtitle options.

Auto Gordian Knot appears to have subtitle options, but not options for cutting/combining videos. I haven't used it, but I think it might put the subtitles straight onto the video, in which case VirtualDub or VirtualDubMod could then cut/combine them.
