For $400, I'm looking to get a Core 2 Duo, a motherboard (that will let me overclock), and at least 1GB of DDR2-800 (for overclocking, of course). A single PCI-Express slot is necessary; micro-ATX is preferred, but full-ATX is fine too. 4 RAM slots is also a biggie.

$400 is the maximum, and the vendor(s) must accept paypal.

So, what do I buy?

you could get a E6300, a Gigabyte DS3 board, and maybe some patriot ram that should keep you in budget

Gigabyte 965p-ds3 ($135)
C2D e6300 ($181)
Wintec AmpO ddr2-800 1gb ($99)

A few thoughts: The only reason I didn't recommend the Foxconn 965p-AA57 board is because it's OOS. I have the board and love it. The only thing is it doesn't have firewire. But when it comes back in stock, I'd get that.
The RAM is very cheap for ddr2-800, but reviews say that it boots up fine w/o an overclock, but If you keep it @ 400mhz and up the fsb to 400mhz, that's 2.8ghz w/ a 1:1 ratio. Not bad at all. If you end up going with the Foxconn board I mentioned, you'll have a little more budget room for the RAM, so get these or something.
