Need Socket A mATX mobo advice

I want to build a small HTPC, but I am making it very small (low).
I need an mATX board with support for AXP mobiles (2500+) that I can undervlot/clock (to make it run cooler, obviously).
I'm looking at an inexpensive system, and half height cards, so I will either need half height GFX/Sound or a mobo with integrated sound, and if possible graphics WITH TV Out

So:
Cheap mATX fr Socket A
Mobile XP support
Good underclocker
TV out if it has onboard gfx
Onboard sound

PATA/SATA don't matter, onboard LAN doesn't matter.

How about a Foxconn NF4K8MC-ERS? It is socket 939 and you can get it for around $80 along with a $140 3000+ CPU from Monarch. It supports "cool 'n quiet" so it dynamically underclocks/undervolts the CPU when usage is low. You'll get the most modern setup for a budget price that does the underclocking for you. All you'd have to do is to find a half height PCI-e video card and you'd be set.

I already have a mobile 2500+ than I'm going to use, and gonna get a 939 setup as my main machine. This will be for very low power all the time, hopefully passively cooled (I can get to 1.05v on my current board, ABit NF7 full ATX though).
