Need help with CPU temp

I have an E4300 on a Gigabyte 965P-DQ6. Because of the "Crazy Cool" heat sink on the underside of the mobo I had to opt for a HSF that does not use a bracket for attachment so I went with the Scythe Ninja (latest rev). I also replaced the fan with two (push-pull configuration) Scythe SFF21F 120mm fans (1600 RPM). I used Artic Sliver 5 and followed the instructions on their web site. I also have a Zalman ZM-MFC2 controlling both those fans in an Antec Sonata II case (with two more 120mm fans). My intake temp is 26 C and exhaust is 34 C. At stock speed in idle, my CPU temps are reported (by TAT) as 51 & 49 C (core 0 & 1).

Doesn't this seem rather hot? Is TAT reading correctly? I have read several articles on TAT and it seems to be the best overall for C2D CPUs. I have one of the MFC2 thermocouples set on the mobo right next to the cpu (as close as I could get it) and it is reading only 42 C. I'm new at overclocking and have been working on this rig for several months but seem to keep coming back to temperature issues every time I try to overclock. I've read I should not exceed 65 C but TAT reports 69 - 71 C with even moderate overclocking.

Maybe I am not seating the HSF correctly?

Any suggestions would be greatly appreciated.

Probably an installation issue. My E4300 is running at 3.46GHz with 1.465Vcore. With C1E and EIST enabled, idle temp is 38C (TAT/CoreTemp) in 75F room. Orthos Large mode temp is 69C.

I have a Big Typhoon with medium speed 120 x 38 mm Panaflo.
