Need help with an Audigy and XP on Via chipset

I've run out of ideas 🙁
When I install the card after shutting down.It just keeps restarting after it boots into windoze.I've tried every pci slot I have.Onboard sound is dis-abled.I've reformatted several times.I take the card back out it boots up fine..no problems at all.Can't really change the IRQ because it doesn't run long enough to find out what it's on.The card works fine on my kids rigs.So it has to be something with XP I believe and the chipset.I'm not overclocking it eiither.
Here's my systems specs

K7 Master 761 chipset
1024 megs Infineon DDR

60 gig IBM deskstar 7200
40 gig Maxtor DiamondPlus 7200
24x Lite-On
16X Pioneer dvd

You tried disabling auto reboot in XP ,then put the card in and install the software setup from CD,then after all this install the XP update from Creative site.

My SB Audigy is working fine in my XP rig,also disable the gameport and MIDI address map in bios,see if that helps.
