Need help! Problems trying to install Win Me

I'm trying to install Win ME over Win98se. Here's what I did:
1. Booted into dos w/ boot disk.
2. Renamed the Windows directory (old win98se)to something else.
3. Went into Win ME cd and ran setup.
4. All is well, then I get error dialog box: "Setup cannot copy the installation files to your computer. Click ok to exit SETUP." Message SU0325"
5. I reboot from bootdisk and try to continue the install recovery option, no luck -run into same error message.
6. Reboot install w/o installation recovery, get same error.

Any ideas to what's causing this? Bad CD? Do I have to delete win98se all together (meaning, renaming the windows directory is not enuff)?

I booted to Win 98SE, inserted the ME disk, it automatically came up and asked if I wanted to upgrade, I hit yes, 20 mins or so later, WinME was installed. Been running 3 weeks, no probs. You don't need to rename or boot to DOS.
 
Guess I'll try that next. I'm just not very certain how well Win ME will integrate w/ Win 98se already in a current system. Thanks Ginfest.
Anyone else have any experience with installing Win ME over Wino98se?
 
I have done a couple of install on top of 98se and it worked out better than a clean install for me.I went back to 98se untill Ms gets alot of winme problems fixed.

I tried a install w/in win98se as upgrade, same error.
Fdisked, Formated, and fresh install, same error.

Turns out I have a defective copy! D'oh! Sucks when things like this happens... wasted about 6hours with this misadventure.
