Need help installing Zalman 7000 to A64 939 board

I'm not sure what the black plate is for. Am I suppose to replace the silver plate under the board?
Manual says to use the back plate for 754 board. I thought 754 and 939 was similar.
If you've installed Zalman on 939 please let me know what to do with the black plate.

You're supposed to remove the original backplate and use the Zalman backplate. Sometimes you can get it to work with the original backplate but if the original isn't glued to the motherboard I would go with the Zalman.
S939 and S754 backplates/cooler mounts are the same.
