Need help -AMD Duron system not booting

I purchsed a M805L socket A board with a duron 650 chip. Got a 300W case and 128m stick of ram that I know works. With the cdrom drive and harddrive it wont get past the....

Then it freezes. I have not a clue what is happening? Is it a bad board or chip? I know the ram is good. The case is a new 300w. The card is a old S3 2meg PCI card. No soundcard. And I disabled the onboard audio.
 
Is it accessing the hard drive? Do you not have a floppy drive installed, or you just didn't mention it? What happens when you remove the CDrom? Have you ever been able to get past this?

never been able to get it to book. I have floppy installed but still the pc should be able to boot even without any boot devives installed(you would get a nonsystem disk press enter or some error like that) But sadly with HD or with a cdrom or just floppy it wont boot.:-(
 
I know that you say your RAM is working, but I had this problme once, and it was because one of my 3 sticks was bad.
