need good video capture system

i have a 2 yr old panasonic vhs-c camcorder/digital camera.i want to beable to start transfering videos from analog to digital so i can store them on cd's.i also want audio.im guessing i'll want to use mpeg4 but i'm alittle confussed on which capture device to get.im looking not to spend much more than 100$.does anyone have any experience in this.by the way i'd be doing this on my second machine,heres the specs:
asus cusl2-c
p3 933eb
256 pc133
30 gig 5400 rpm western dig
ati radeon 32ddr
hp 8200 burner

Get a Dazzle DV Hollywood Bridge. That's probably your best bet for transferring Analog to Digital. You could go with a PCI card type video card, but they have a very hard time converting from analog.
