Need a new mobo, using "old" parts

So the mobo in my HTPC is flaking out. I have a Foxconn P9657AA-8KS2H w/ 1GB Corsair DDR2/5300 Value RAM and some random 64bit Celeron (300 series I think).

The mobo flakes out if you try standby (looks like it worked, but the system never goes to the soft-off state.) The BIOS is now complaining about a drive controller being forked on bootup, the BIOS doesn't deal well with not having a CPU fan (can't get into the BIOS to shut off the CPU fan requirement without having a CPU fan connected).

So I was hoping you all could help me figure out what to replace this thing with. I need graceful support for not having a CPU fan (like my Abit IP35-Pro), and it would be nice if the thing supported my current CPU/RAM as well as being upgradeable to C2D. I'd like to not spend a boatload, although for the right reasons I might upgrade my IP35-Pro and swap that into the HTPC.
