You cannot gain muscle and lose fat at the same time, you either gain both or lose both. It is all about controlling it though.

Where is this proven? I have seen numerous people with a good diet and workout plan lose weight and body fat and gain muscle.

Where did they start from (height, weight, bf%)? Someone who is overweight and new to training can most likely do both at the same time. However, if you are experienced and already have 200+ lbs. of LBM and are trying to cut down to < 10% bf, good luck trying to build muscle at the same time. It just isn't going to happen without the addition of drugs or superior genetics.
