well, my new pentium d-915 has arrived, but i need help: when changing cpus, shall I take the motherboard out of the case? or do it right there?

There really is no difference. If you feel more comfortable doing it outside the case then do it, but make sure you put it on a wood surface or such so that static wont kill ur motherboard and cpu. If you think you can do it while inside the case then go for it.

I would just leave it inside the case. No point in doing all the extra work of removal, reinstallation.

I concur. If it's OEM remember to remove the old thermal interface material and apply a new thin layer.

Leave it in. The more disassembly/reassembly you do, the more risk you run of damaging something. BTW, I'm sure you already know this but, remember to unplug the MB first.
