MSI K7T Turbo Shut down problem

My system: MSI K7T Turbo, 2-128 sticks of Crucial 133 CAS 2 Memory, 1.2 Gig AMD unlocked,Leadtek MX 32 meg videocard, Adaptec 2940UW Pro SCSI, 20 gig Maxtor 7200 HD, Plextor scsi cdrom, TEAC SCSI burner, SCSI Zip drive. Win 98

When I try to shut down my computer, the sirens go off and the motherboard lights show a memory error or Memory Detection Test. If I pull the plug on the machine and let it rest for a few moments, it will sometimes restart but often I have to keep hitting the reset. Sometimes I get no video on my monitor. Anyone have a clue?

By the way, this is my first post, but I have followed this group for what seems like forever. I have built maybe 15 or 20 computers with various boards, so I do know a little, but this has got me stumped. I had a similar problem once with an ASUS board.
