MSI D-Bracket Memory error upon Boot-POST

I just put together a new system this weekend and I'm getting a repeating beep from the system during the POST. It will beep once and then wait for 3-4 seconds and beep again, I usually turn off the power after it has beep about 4-5 times. According to the LED lights on the back (number 2 is green and the rest are red), this is a memory error. I reseated the 256 2700 Samsung memory and also tried each memory slot but I get the same error. I have tried another DDR that I know works (256 meg 2100) in slot 1 and still the same error.
Is there something else that may cause this error? I assume that I can rule out the memory but according to the D bracket, this is what I should be checking.
System specs: MSI 645E Max, P4 2.4B, Samsung DDR 2700 256 meg stick, Enermax 431W PS, MSI GF4 4200, Maxtor 40 gig, 52X CD, floppy, Lian Li case.
I have put together several systems and this is my first failure. Help!

edit: Additional info. No video to screen, power seems to be fine with all cooling and CPU fans coming on.

First are you still having this problem?

If so

Disconnect everything. Then put only the CPU in. Give power to the motherboard and boot. See if it gives you the memory error.
Then put the memory in and see what happens.

Also have you cleared the BIOS yet? When ever I get a new motherboard the manual always says to reset it.

Thanks Remy,
I took the board back to Fry's and it booted up right away with their ram (Crucial). The Tech seemed to have a problem with Samsung OEM DDR ram(s) that I bought from NewEgg for some reason even thou it worked fine in two other boards (assuming that it is the ram giving the problem). The Tech didn't clear the bios so I'm not sure what happen but I should have brought my ram to verify that it was the conflict/culprit. I ended asking for and getting another MSI board in exchange. Off to sell it to recoup some of the money put out for the P4PE board I bought instead.
