MSI 925X Neo + Intel P4 640 (3.2) Overclocking help for newbie

I need some help. I had successfuly overclocked a ASUS P4P800E and an Intel P4 2.6 to 3.2 stable with air cooling. This I assume, is a "modest" overclock. I just bought a new setup assuming I could get the same percentage overclock and I am having trouble. I should also add that I am using MS Windows XP Pro 64-bit edition, and apparently, MSI's Windows overclocking tools don't work in the 64-bit environment.

Here is the new rig:

Motherboard: MSI 925X Neo Platinum (BIOS flashed latest 1.6)
CPU: Retail Intel P4 640 (3.2G)
Memory: Corsair DDR2 533 512MB X 2 (P/N CM2X512-5400C4)
Case: CoolerMaster Centurion case with CM 380W PS.


I've managed to get the FSB to 215 (3.47G), but anything over that and the system locks at reset and I have to reset it via CMOS.

Here is the contents of the "Cell Menu":

Also, in the Hardware Monitor, the VCORE is reported as 1.31V. FWIW.

I'm sure I've missed some huge glaring thing here, but I've searched the forums here to no avail.

It more then likly Windows 64
The Mobo should hit 266 since it 925x because it allows up to 1066.
What are your CPU temps? You might not have Enough fan cooling.
You should be able to 3.8 on air with that chip.
 
The temps are good, at about 35C at idle and about 47C during Sandra burn-in testing. I don't think it's Windows64 because the MB just fails to POST once I push the FSB past 215.
