Motherboard Meltdown

Well my 3 year old Abit BH-7 Motherboard Intel 845PE Northbridge chip melted down last night. It appears the Heat sink "popped off" and the chip burned up (I was over clocking).

So I need a good recommendation for a motherboard that will work with:

2.4 Pent. 533 MHz bus / non hyper threading

2 sticks of 512Mb CAS 2/2/2 DDR3200 XMS memory

ATI 9700 Pro AGP graphics card
.

I want to keep it under $100.

I plan on using this PC as a HTPC in about 7 months when I plan on doing a complete upgrade then, so I will not be over clocking

Or would I be better off to buy a new CPU and motherboard, but if I go this route I need to keep it under $150.

I will probably order from zipzoomfly, since I live in TN and Newegg charges tax there.

Any advice and recommendations is greatly appreciated.
