motherboard dead?

all of a sudden my motherboard is acting up. when i power it on, it constantly resets itself, i can verify this by listening to the little speaker that its resetting, like 1000 tiems sometimes i get lucky and it actualy posts. I was overclocking before, but the motherboard aint working no more. I had a voltage mod on it, buti tuned it down to default voltage still no post, i change teh slot where the memory sits and no results. reapply artic silver on the cpu and the northbridge and there is still no go. anyone know whats the prob? something shorting out?

note i am only booting up with the essential components, motherboard, cpu, and memory and i get constant reboots. If it posts after the memory check it would just freeze black screen or i get into the bios, then it would freeze then. the computer did get a rocking when i drop the caes by accident but it wasnt a hard fall, but the heatsink from on the pll chip fell off and thats when it started acting up. anyone have any idea?

motherboard is a7m266 running 1.4ghz, and corsair pc2400 with antec pp412x
 
sounds like you may have talen out a trace on the MB some how with that heat sink. Basicly it is damage beyound normal measures and waranty on it is void. plunk down for a new MB
