Motherboad Died or CPU?

My computer started crashing like a week ago, from the BSODs i had thought it to be my RAM going bad because all the Errors pointed to RAM. The computer would give me a BSOD using it for like hour or 2. After it shut off youll have to let it sit to like cool off, but nothing was dramatically hot. So I ran Memtest86 and it froze at the end. So I took one stick and it was running fine until later that day when another BSOD popped up and had to do the same wait till it cooled off. So today, i tried swapping my roommates ram after my computer turned off but nothing happened till i let it cool off. So now im trying to norrow it down to need new motherboard or new cpu?

Any help, suggestions, or ideas?

EDIT: oh forgot to mention i put my RAM in Roommates Dell, and its running fine.
 
ill read in a minute. Just wanted to say i just pulled out the CPU to see if there was any discoloration on the chip. and none whatsoever.
 
none of that has changed. im positive 100% positive psu isnt the issue. dont see why it would be bios version or settings it isn't corrupt, havent updated, tried fail-safe. memory tested in another computer, worked fine no issue at all.
 
I got a 0x9C Machine check error last night. i took out my cpu last night and it had that black stuff on the side of it.

Yeah, narrow down the possibility of other components in the system might of causing those symptoms.
