Mother board info please

Hi every one, I have a question in ref. to my Dell 8400 I wanted to upgrade the my intel prescot 3.4 to a quad or dual, the case. motherboard,graphics,and psu. In other words keep my hard drives with windows and my dvd rom. how can I get windows to load on a new motherboard using my oem dell cd? I dont want to spend more then $450 on all upgrades. Is it posible? Thanks

You can try a repair; I use a dell vista cd; I don't know about xp; get another Intel chipset motherboard and you might not have to format the drive. Frys has a barebones setup on sale today for $130 after rebate: comes with the e7200 retail boxed, ecs board, and antec case.
