modem installation problems

I'm trying to install a modem onto my cousin's computer but I'm having a lot of problems. It is a pnp compatable v.90 56k modem and windows 2000 simply wont install the drivers correctly, at bootup windows recognizes a "simple communications device" and I try installing the drivers and at the end there is a error saying the drivers could not be installed, i forget the exact reason but i think it had something to do with data being corrupted or something. I'm pretty sure its not the drivers cd because the exact same problem happened with a us robotics 56k modem i tried before also. I tried installing the modem manually on both com port 1 and 2 and but the computer does not communicate with the modem. There is a yellow exclamation mark next to it in device manager. I know that signals a i/o conflict or irq conflict but I can't fix it.
