mobo upgrade from MSI K8N neo2 plat

Hey,

So right now I'm running an A64 winchester @2432 with 270FSB. I can go a little higher and still be stable, but I set it at 270 to be safe. I'd like to upgrade to a PCIe mobo which can do this for hopefully under $80. I'm running OCZ PC3200 plat rev2 ram (2x512) and I may add 2 more sticks to get to 2 gigs.

So, the mobo has to:

run stable at 280 FSB
handle OCZ plat plus PC3200 rev2 ram well
run mixed memory with no problems
run w/ all 4 dimms filled at 280 fsb
be under $80 (ok, i'll go up to $100 but I don't want to)
have some sort of 5.1 onboard sound.
also, fit a 8800GTS (640mb)
