mobo Upgrade from intel to AMD

i am going in soon for an upgrade to shed my case of the intel zx 440 old mobo and replace it with an AMD athlon supporting mobo.
the proc speed i am looking at is well over 1 ghz. and the motherboard should be one that does NOT have internal sound or graphic chips.

Please advise what Motherboard is the best.
I will purchase DDR Ram and the mobo hence should support it.

Also I have a geforce 2 pro MSI 8831 which i hope to install seamlessly on the new one.

I know you prefer no audio on-board but it's really a non-issuse since by disabling it in the bios it uses no resources and can add value to the resale later by not requiring you to add a soundcard, because of that I suggest the Shuttle AK31A as it is an excellent price/performance board. However, if the no audio is an absolute requirement I suggest the Abit KG-7 or Asus A7M266( on board audio but better than soundblaster live in most peoples opinion) as they are both high quality, high performance boards.
 
No problems so far with my new ak31 version 3.1. Should run at about 150 or higher fsb with crucial memory, but I use micron and kingston, so I run at only 136 fsb. My sisoft sandra memory scores at that speed are 720 and 957, about 1/3 higher than my old amd 761 board. Games run much faster. It's like getting a video card upgrade. I use the ati radeon ve.
 
if your budget is limited, then the Shuttle AK31A Rev 3.1 motherboard should be up toward the top of your list.

next down the line, if funds are adequate, the MSI KT266 PRO 2 would suit any user well

If you just have infinite funds to spend, then Asus boards are up at the top on price

last, but not least, a tried & true performer, motherboards based off the AMD 760 chipset. Its an older chipset, but all the kinks and instability issues have been worked out with recent revisions and such. A majority of the boards can be updated with "AMD XP" compatible BIOS's, which will enhance its life further more.

As with your onboard audio, since alot of manufacturers are competing for sells in the OEM market, onboard audio is an almost given, but as previously stated by Dapunisher, it can be easily disabled by pressing a few keys on the keyboard.. simple, efficient, painless
