Memory Bad

I recently purchased a 1 gig Corsair Value Select Dual Channel Memory Kit from Newegg.
After installing it and a bigger CPU, my machine started to randomly reboot itself. At first I thought I might have a PSU problem since I had added the larger memory and upgraded from a XP2700 to a XP3200 Procesor while using a generic PSU.
I purchased and installed a new Atec Antec Truepower 430 Watt PSU but the machine continued to randomly reboot.
I then ran a memory testing utiliy (Goldmemory) on each individual memory strip and found multiple errors on both of them.
I reinstalled my single 512K strip of PNY and it showed no errors and ran perfect with no reboots.

I have a Chaintech 7NJL6 motherboard. Is there a possibility that the memory is not defective but is just incompatible with my motherboard?
I would hate to RMA it if it isn't bad.

After doing a search on Corsair's website I found my new memory to be compatabile with my motherboard so it looks like I will need to RMA the memory.
