After zillions of tries at all kinds of hard drive settings, cable select and everything in between. Tearing apart and rebuilding three times, running the system outside the case on pieces of cardboard, I've solved the problem and her computer is humming along with WIN XP. With head hung low, here is the fix.
The bios of this MSI motherboard has settings for optimal performance and fail safe performance. The board had been set for optimal performance with PIII 866 meg and 256 meg of memory. The max capacity of the board is a 1 gig PIII and 512 meg of memory. That's what I installed. As per original post it refuse to get past the boot page for cpu and memory readouts in the system. As an afterthought, I switched the bios to fail safe settings and behold - we booted up like normal. My guess is the board simply wouldn't function at peak levels with the max of memory and cpu installed. That's my guess. Thanks to all who lent a hand, and if i ever have this problem again I will throttle the board down as step number 1.
