MB+CPU upgrade question

Im looking to upgrade my system. heres my current:
--------------------------
AMD Athlon 1800+
ASUS A7N266-VM Nforce1 (actually a different model, maybe the -E)
Integrated APU (Audio Processor Unit) in MCP-D
built-in Dolby Digital (AC-3) Encoder
Realtek ALC650 (5.1 surround)
onboard LAN
ATI radeon 9500 Pro
512MB PC2100 ram

im looking for a MB and a CPU for around $200. i was thinking the ASUS A7N8X-E Deluxe with an AMD CPU that will take me around the 200 mark... I need onboard sound and LAN, will my memory be okay with that? or is there something else i should get? any advice would be appreciated. thanks.

I'm not doing anything to make it "choke" i'm just looking to upgrade my motherboard, and I would like to get a faster CPU. what is the best bus/multiplier to put it on, and keep it stable? i dont have any extra cooling than a heatsink and fan(standard). i got a decent case with 5 case fans(1-powersuppley, 2-rear fans, 1 front fan, 1 side-panel fan). would it be better just to get a new motherboard and overclock my AMD?

If it is a palomino, don't bother overclocking.
You might want to look into the Abit NF7, NF7-S V2.
A 2500+ will be a nice overclcoker, usually getting to 2.2Ghz no sweat.
