matrox G400 + Amd K6II+ problems

To make a long story short, I'm getting windows protection errors after I installed my matrox G400.

MS-5169 mobo w/ Aladdin V chipset
AMD K6-II+ 500mhz
(new) Matrox G400 (i used to have a mga millenium, so I know it's not matrox in general)
Win98 SE. Comes with directx 6.1
Have the latest drivers for directx and the G400. The G400 files are not microsoft certified for directx.
