majorly screwed up system

Hi guys, I have been screwing around with this system for almost a week now.. here are specs:

Leadtek 7350KDA mainboard with 1700+ XP
256 Kingmax PC2700 memory
ATI Radeon 8500 retail
100G WD hard drive
cheap cd rom
350W Enhance Electronics PSU
Dr. Thermal Cooler with ASII

POST is fine, bootup is speedy, everything works great except when I actually get into windows, stuff starts going wrong. I can't finish 3DMark2001 even though I'm getting 100+ FPS on most of the tests. Sometimes it refers to a corrupted file, sometimes it quits, sometimes it beeps and then freezes. Also, after a bad freeze up, the system will start getting all kinds of registry errors and they don't ever go away unless i format+reinstall 98SE.

I have the latest drivers, BIOS, etc. I'm concerned that I have a bad mobo or PSU. I've played with memory and AGP settings in the BIOS, they don't seem to help. one thing I am going to try is running at 100 FSB because that consumes less power. However the PSU i'm using has 220W of power the the motherboard and is AMD approved so I doubt thats the problem

Any ideas/feedback would be very welcome.

edit: running at 100FSB doesnt help at all. And I forgot to mention that I can finish Prime95 TT with no problems.

edit 2: I changed from CAS2.5 to CAS2 and now I'm getting no registry errors on bootup in windows. i still can't finish 3DMARK2001 though.
this is one screwed up system, i may RMA the motherboard just to get one that makes more sense.
 
Motherboard is probably the problem. I have only heard bad things about Leadtek boards. RMA and get something else.
 
I think you're right - all the reviews I've seen and customer reviews I'd read on newegg seem to indicate that the board would be fine with a new BIOS, but quite frankly it isn't. I'm thinking of getting a DFI or Soltek KT266A board, but I really really don't want to put that PIII 500 board back in for another month...

oh well, maybe I can pick one up at a computer show or something. The system is running stably enough for me to do schoolwork and listen to music, which is what I do during the week.

one more thing - should I just RMA the RAM with it and buy Crucial.. if it turns out that my ram is the problem and I get a new board, I'll really be screwed.
