M2NPV-VM no video/display problem

I started building my HTPC (bought all components from newegg), but the motherboard is not giving any display (I am using on-board VGA). Initially I connected everything (case USB, firewire, etc....) but the motherboard gave no display or beeps. So I ran to frys and got another motherboard. This time I connected only the power switch and power supply. Again no video.
Only the CPU fan starts running once I switch on the case power, nothing else...no beeps (if i connect the case speaker).

I suspect may be the original BIOS is very old and by default does not give on-board video. So I put the latest bios (405 from asus website) in a CD and try to flash it...but nothing....I also tried putting only I memory DIMM, changed slots...nothing.

I need URGENT help. Is the power supply bad?

amd 512 KB 3500+ AM2 CPU
