Lucent Modem in Win2k? Help! :)

Hi,

I have a Lucent Generic Win modem pci as the only PCI device in my new ECS k7S5a Board. When I first install the modem the modem works great, when I shutdown and/or re-boot when I attempt to dialout I get an error that says some other program is using the device. If I uninstall the modem, re-boot, and then let windows re-find the device the modem will work perfectly again until I shutdown or re-boot the machine.

What am I doing wrong?
