Looking to upgrade, CPU, Memory, and MB

I have been overclocking for a few years now. First time I did it was for the experience and to help some software run and lame bragging rights. I have 2 boxes and I want to upgrade 1. Not really wanting the hassle of overclocking, and dont want to go bleeding edge, specially with the DDR mem at this point and time. I was looking
at the Asus A7V133 and the Iwill KK266-R, looking for a good CPU in the 1 to 1.2ghz range and some stable SdRam in the 133mhz range. Mainly looking for a solid upgrade with the least out of pocket expenese, arent we all :).

CPU PIII550e (oc to 803mhz)
Memory Toshiba 256 meg Pc100 8ns (125mhz) Azzo
3 hard drives,

might want to rethink the ddr thing if yer buying memory anyways

256 meg of DDR PC2100 ram at crucial is under 50 bucks with free shipping
at the crucial.com/webpromo page.

I would recommend the broken record that everyone is playing:

8k7a (best AMD motherboard hands down)
256meg of PC2100DDR from Crucial
and a 1.2/266 oem with a globalwin CAK38 fan (currently the best $ value)

I know u say u don't want to overclock, but you might be
interested to know that with the flick of two dipswitches on the
motherboard, you'll be at 1.4 on that 1.2 processor and you won't
even have to TOUCH fsb settings in the bios.
