Looking for system upgrade suggestions

Hey everyone. I'm looking for upgrade suggestions on a system with the following specs:

300MHz Celeron OC to 450
384MB Ram
Abit BX board
Not sure how much the powersupply is, but probably under 200W.
8MB, AGP ATI Rage Video Card

As far as the upgrade, here are the requirements:
Would like to use the same case. (Since it is ATX, don't think it will be a problem.)
Same HDD's & optical drives. (Again don't think that should be a problem.)
I would like to go with a nice, mildly overclockable AMD solution. (Pref Athlon, but I would consider a fast duron.)
A 32MB or 64MB Video card.
I have no idea what mother board to use or what type of powersupply to get.
256MB of RAM.

Also, I'm looking to try and keep this project somewhere between $150 - $250 & would prefer to but it all from newegg, as I've always had good experiences with them in the past. Not necessarily looking for the best components, but don't want junk either.

Thanks for reading & I look forward to all of your suggestions. I put the last one together, but I've been out of the PC assembly biz for about five years now.

RAM- Use you're current ram, it accepts SDRAM
CPU-Athlon XP 1800 OEM- $49
Heatsink- Basic coolermaster $6 HSF
Video- Sapphire Radeon 9000 64MB- $55
Fortron/Sparkle 300W PSU- $27

Total - $177

There you go, to overclock just d/l the latest overclocking BIOS for the K7S5A. This rig should be able to do some very "mild" overclocking, maybe 50-100MHZ more if you're lucky.:)
