Looking for pointers to examples/samples of LLC paperwork

I'd like to start an LLC to do some consulting work (project management, code development, web sites, etc.). Am looking for examples/samples of Articles of Organization filed with SecState. I realize that these will vary by state; however, they are mostly the same from state to state. Can you provide a pointer?

(I also realize that I could pay $200 to have some online site handle it, but the actual filing fee is only $50--so I'd like to try it myself).

Uhh, check the State Corporation Commission (or equivalent, wherever you are) for forms. They might have specific forms ready for you.

If more than one party will be involved, either LLC members or employees, it's not a bad idea to get an attorney to draft your bylaws/rules even if you decide it's not worth paying him for the actual filing. Someone that does that for a living tends to know which disputes are most likely to arise, and how to deal with them proactively.

Google your own shit man. When I formed my LLC, I Googled for 15 seconds before finding the exact form I needed. Instead, you waste our time and your time.

Good luck managing an LLC we you can't manage to find a form.

No forms that I can see on the web site. Just a link to the Iowa code that is applicable.

http://www.sos.state.ia.us/pdf...rvices/IAcodeCh489.pdf <-- IA LLC Code

Read article 2, starting at number 2. It tells you the minimum information that must be in the Articles of Organization.

Or hire Legalzoom to do it. If you don't understand what they are looking for in the articles, it could be rejected a few times before it's accepted. You can try calling the SOS, but the people in the office aren't always very helpful.

First off, as much as it pains me to say this (and its probably the only time it will happen so enjoy it), Safeway is right.

Second off, if you end up using legalzoom to form an LLC dont get anything above the basic package. I just looked at them and anything above the basic plan is essentially useless.

Thanks to all that have posted. Apparently, Iowa just changed their law to require a Certificate of Organization rather than Articles of Organization. And in fact there appears to be a bit of a stink in the local legal community because of the wording (could have been more clear).
Anyway, the requirements are even less stringent now than previously. There is no form. And the certificate requires just 2 pieces of data.
So, I am off to the SecState.

Thanks again.

Get an accountant to do it, they are much better at it then you would be 😛

That's what I did...granted I am getting it done free, since my uncles a big CPA!

We're in the middle of a damn recession and the legal industry has especially been hit hard. I'm sure you can find an attorney to do this work fairly cheaply in your area, and as a bonus, the likelihood that it might actually get done correctly.

Besides, are you just forming an LLC for yourself? If so, you better read up on the ongoing formalities and stick to them, otherwise, someone suing you in your individual capacity will not be difficult.
