looking for motherboard with both AGP and PCIe slots

Note the PCI-E x16 slot on the PT880 Pro/Ultra boards is only x4 lanes, but this does not affect performance as much as it sounds except on the high-end of the GPU spectrum. Most reviews have found at most 6% ~ 10% difference between the x4 PCI-E and x16 PCI-E using upper mid-range GPUs.

Nearly identical to the ASRock board but at this time it does not support C2D (Conroe) dual core, only the 8xx ~ 9xx Pentium D family. This may or may not change, I don't see why this board couldn't support C2D (except that ASUS may not want to divert attention and sales away from its more expensive Conroe boards).

I'm in the middle of building a pc.

Asrock or Asus, this seems like a trade off, either cpu or gpu, only one possible upgrade in the future.

I'd go with the ASRock. With future Conroe support on the ASUS in doubt, the ASRock definitely has better CPU support. The ASRock already has many BIOS updates (another released today in fact), and is essentially Version 2 of the 775Dual-880Pro, so BIOS refinement is probably better than the ASUS. Since it is a 'new' model billed for use with Vista, ASRock should be supporting it for a long time.

It can be overclocked but not very well. 10-12% over stock is about the limit right now although they did release a new bios today that might improve this? Text

It has all the requisite overclocking options and features, albiet on a budget. This isn't a $150 ~ $200 enthusiast-class board.

This is only true for 1066MHz bus processors. People are getting much higher on 800MHz bus processors.
