754 is cheaper but what's the difference between the 754 chipset and the 939?
I'm looking for an AMD 64bit chip.

S754 = 64 bit memory controller, old generation CPUs, Value Segment
S939 = 128 bit memory controller, new generation CPUs, Mainstream and high end segment.

Hmmm, is that 4252 post? Looks like the diff between 939 and 754 is 185. C'mon.....:p

But would I notice any difference if I'm just using my workstation for surfing the web and doing web development work (photoshop, etc ...)?

I'm leaning towards the 754 due to money constraint.

I'd go for the 256k sempron 64 2800 (about $76). Check monarch computers or chiefvalue.com for inventory. The sempron should overclock pretty well. Only the palmero cores have 64 bit enabled. They started shipping about 2 weeks ago.

I go with o1die suggestion. But I add this: instead of 256k sempron 64 2800, look for 256k sempron 64 3100. It has 9x multiplier instead of 8x one which should make overclocking easy for you (not all motherboards will rise FSB up to 300mhz). Be sure that the OPN number (the topmost number in the heatspreader of the cpu itself, in my recommendation should read SDA3100AIO3BX) ends with BX!!! that asures you are buying SS3/64bit enabled sempron.

It isn't 754="old CPUs", it's 754=budget/mobile. The 64-bit enabled Semprons you get on 754 are the latestest available core stepping, E6.

Not all "Palermo" Semprons are 64-bit, only the E6 ones are.

Little actual, real life performance loss is observed from the Sempron's smaller cache and single channel RAM controller. Only those few special applications that stream LARGE amounts of data do benefit. Photoshop will suffer, but with the image sizes used for web development, you won't notice.

BX OPN=E6 stepping. You can even "compensate" that deficit on the L2Cache/SingleMemoryChannel with the extremelly high overclocking potential of E6 chips (up to 2.6/2.7 Ghz). That's why I suggested the 9x multiplier 3100.
