LGA 775 Motherboard?

I currently have a G31 chipset MB from Gigabyte and a friend is offering me his Gigabyte GA-965P-DQ6 for $20 and I was wondering is it an upgrade or downgrade?
He also has a Pentium D and 2GB of DDR II for it I can get the whole thing for $50 he says. My mom is currently using a PIV Socket 423 (That is so slow and I think the MB is dying) so I would give her my old board + the Pent D and use my E5200 in the board

Are you sure the MB is dying and not the Hard Drive? I'd imagine an old system like that must have a dinosaur hard drive working at 2001 speeds.

It would be a minor upgrade, going from Intel ICH7 (G31 board) to ICH8 (965 board).
Are you using the G31's onboard graphics or a separate video card?

No I am not using the onboard video I have a separate PCI-E Nividia 8600GT. Could be the hard drive it is a 20GB ATA-66

Hmm, I would consider that a slight downgrade. The G31 has newer CPU support than the 965 chipset.
