Guys - I'm going to look like an idiot but I fixed my "little issue" 
I enabled cpu interface in bios and viola - 200x10 stable windows so far! cpu temp at 34.5C (idle)
I'm such an idiot. I'm so sorry for all this trouble and time/ You guys been great. Thanks for taking the time to read through my thread.
I'm going to go off and see how far I can push this now.
2.1 Ghz at 400 FSB is already 3200+ terrority. I'm one happy camper now. Thank you all again!
