K7V having problems with win2k

I have an authentic Athlon 550Mhz w/ Asus K7V. 128Mb ram (100Mhz) and Diamond Stealth III Savage S3 32Mb vid card. I try installing and I get a hardware malfunction error. I took EVERYTHING out cept the basics (ram,vid card,hdd, etc). So I tried it again, same thing, so I took my dad's 4Mb C. Labs vid card, and it STILL didnt work. I am thinking the asus board may NOT be win2k compatible. It works FINE on my peep's K6 333MHz. So why not my new one??? pls some recommendations
