K7V & BSOD AT SHUTDOWN

Just put together:

k7v
atholon 800
sblive
3comm oem modem
384 mg ram
matrox g400 dual head
dv200 capture card
inwin 500-300 watt PS

Went pretty smooth untill wer installed the modem it wants to install on comm5. but it works there.
Then we started getting the blue screen of death on shut down and the comuter would lock up and not shut down.
No conflicts,
latest via drivers,
latest matrox drivers,
Any ideas
