k7s5a with winXP setup problem. anyone else encounter before?

i setup my k7s5a with no problem booting.
here is my config:
athleon 1.2 running in 266mhz.
2 256 crucial DDR memory
ATA xpert pro agp video
40gb 7200 maxtor HD (it says it runs in ata 100 when i boot up)
52x cd-rom (it says it runs in ata 33 when i boot up)

this is about it.
i used a win mil boot disk to boot into dos,
then go to i386 in cd rom and run
WINNT
and everytime the computer will HUNG when it seems finishing copying the files.
i am trying to install WInxp pro. it is the retail but it won' tboot from cd room for some reason.
if i restart the pc and let it boot from C:, it will say continue setup WINXP, if i do that, it will
always say end user liscense agreement not found.
what could be the problem? is this hardware related?
please help. i also have win2000 pro and win98se ready here,
think i should just install with one of these and then upgradte using winxp?
