Is this upgrade worth it? Asus P4PE/P4 2.66 to Dell P4 3.0 HT ...

A friend of mine is selling a dimension 9100 fairly cheap. I would buy it for the parts and was wondering if after selling my old stuff would be worth it for around $300.

Current Rig:
P4 2.66 @ 3.0
Asus P4PE
WD 100 GB 8 mb PATA
1 GB Kingston ram - *not dual channel
Radeon 9800 Pro 128 mb
Lite-on DVD-RW 8x

Upgrade to:
P4 Processor 630 with HT 3GHz
Dell Dimension 9100 Mobo
160GB SATA HD (7200RPM) w/DataBurst Cache
1GB Dual Channel DDR2 SDRAM at 533MHz
256MB PCI Express? x16 (DVI/VGA/TV-out) nVidia GeForce 6800
16x DVD+/-RW with double layer write capability

The vid card, SATA primary drive, dual channel DDR2, and the 16x dual layer seem like worthwhile upgrades.

are you doing this just to play the latest games? if not, you dont need to upgrade now, maybe just a new video card needed. you'll see a difference, but not something worth skipping up and down the hall for. and if you are upgrading, go to amd.
