What are you going to use it for/with?
If it's an E4300 or something with a 200MHz FSB, or you don't plan to overclock, it should be fine.

If you are looking to upgrade in the near future to an E6850 with 1333MHz FSB and want to overclock, it's not such a good idea.

I'd go for it. E4300 at 3GHz (333x9) will be great for quite some time. Of course, keep in mind that the RAM most likely won't have much (if any) headroom.
