Is this memory a good deal?

I thought the S3, based on the Intel P965 Express chipset, had fairly strict memory requirements. This is from the S3 spec page at Newegg, Link to product page

This product does not support Win9X/ME Notice: Only DDR2-800 memory supporting JEDEC approved 1.8V operation with timings of 5-5-5 or 6-6-6 is supported on Intel Desktop Boards based on Intel 965 Express Chipsets.

The memory you have listed is 2.1V, so I'm not sure if if would work. Anyone here with S3 know if this will work?

It'll work fine. At worst he can put one stick in, boot, add +0.3 to vDIMM and stick the other two in. Most S3s don't have the D9 issues the DS3 did, now, and are shipping with revised BIOSes.

That RAM ain't a great choice for overclocking, though. Moderate overclocking would be nice but you're not guaranteed anything past stock and corsair haven't been good lately with that. Try for something from this thread: http://forums.anandtech.com/messageview.aspx?catid=28&threadid=1966035 or get Crucial Ballistix.

Should be fine. With the 6400 you can get up to 3.2GHz without even overclocking the RAM. I'd say 3.2 is more than "moderate".
