Is this heatsink/fan combo ok?

I have a Tbird 1.4 and I am upgrading the heatsink I have. I plan on buying a Thermalright SK7 and a Vantec Stealth Fan 80mm since I want quiet. My current heatsink and fan is loud running at 40db. Is this combo ok for my CPU?

sounds good...if you overclock i would get a little bit better fan
